By accessing or using WiseNest (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

WiseNest is a retirement planning software application that provides financial modeling, projection tools, scenario analysis, and related planning features. The Service is provided for informational and planning purposes only and does not constitute financial, investment, legal, or tax advice. WiseNest Retirement, LLC is not a registered investment advisor, broker-dealer, or financial planning firm.

The projections, analyses, and outputs generated by WiseNest are mathematical models based on the information you provide and general assumptions about market conditions. They are not guarantees of future results. You should consult a qualified financial advisor, tax professional, or attorney before making any financial decisions. Past performance is not indicative of future results. All projections involve significant uncertainty and may not reflect your actual financial outcomes.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. The Service is intended for use by individuals in the United States. We make no representation that the Service is appropriate or available for use in other locations.

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information when creating your account and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. WiseNest is not liable for any loss or damage arising from your failure to maintain the security of your account.

WiseNest offers several subscription tiers, including a free trial period and paid plans (Base, Pro, Advisor Base, Advisor Pro, and Enterprise). Paid subscriptions are billed in advance on a monthly or annual basis. By providing payment information, you authorize us to charge the applicable fees to your payment method. All fees are non-refundable except as required by applicable law or as otherwise stated in our refund policy. We reserve the right to modify pricing at any time, with notice provided to existing subscribers before any price changes take effect. Lifetime license purchases, where available, grant you access to the features of the applicable plan tier for as long as WiseNest operates the Service. Lifetime licenses are non-transferable and non-refundable after 30 days from purchase. Advisor plans include a base number of client seats as specified at the time of purchase. Additional seats may be added at the rates published on our pricing page. Enterprise plans are subject to separate custom agreements.

Advisor plan subscribers ("Advisors") may use the Service to create and manage retirement plans on behalf of their clients. Advisors represent and warrant that they have obtained all necessary consents from their clients to enter and process their financial information using the Service. Advisors are solely responsible for the accuracy of client data entered into the Service and for any advice or recommendations they provide to their clients based on WiseNest outputs. WiseNest provides tools and analyses; Advisors are responsible for professional interpretation and application of those tools. White-label features allow Advisors to present WiseNest outputs under their own firm branding. Advisors may not misrepresent the origin of the underlying technology or use WiseNest branding in a misleading manner. Advisor accounts and client data are subject to all provisions of these Terms and our Privacy Policy.

You agree not to use the Service to: • Violate any applicable law or regulation • Infringe the intellectual property rights of any third party • Transmit any harmful, offensive, or malicious content or code • Attempt to gain unauthorized access to the Service or its related systems • Use automated means to access or scrape the Service without our express written permission • Resell or sublicense access to the Service without authorization • Use the Service in any way that could damage, disable, or impair the Service We reserve the right to suspend or terminate your account for any violation of these acceptable use provisions.

The Service and its original content, features, and functionality are and will remain the exclusive property of WiseNest Retirement, LLC and its licensors. The WiseNest name, logo, and all related marks are trademarks of WiseNest Retirement, LLC. You may not use our trademarks without our prior written consent. You retain ownership of the financial data you input into the Service. By using the Service, you grant WiseNest a limited license to process and store your data solely for the purpose of providing the Service to you.

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. We take the security of your data seriously and implement industry-standard measures to protect it.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WISENEST DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WISENEST, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WISENEST IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $100.

You agree to indemnify, defend, and hold harmless WiseNest Retirement, LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

We reserve the right to modify or discontinue the Service, temporarily or permanently, with or without notice. We also reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the date at the top of these Terms and, for significant changes, by providing additional notice (such as email notification or an in-app notice). Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. You may terminate your account at any time through the account settings in the Service. Upon termination, your right to use the Service will immediately cease.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. You waive your right to participate in a class action lawsuit or class-wide arbitration.
